The short version
Two agreements are signed at the same time. A lease lets the tenant-buyer live in the property and pay rent. An option gives that tenant-buyer the right to purchase the property at a set price, or by a set formula, within a set period. If the option is exercised, the sale closes at a title company or closing attorney like any other purchase. If it is not, the option expires and the tenant stays a tenant or moves out.
Investors use a lease option on either side: as the owner, to place a buyer who needs time before they can qualify for a loan; or as the tenant-buyer, to control a property now and buy it later. Either way, the property does not change hands on day one. That is the single biggest difference from every other structure on this site.
Lease option vs rent to own vs lease purchase
- Lease option. A lease plus the right to buy. The tenant-buyer can walk away at the end of the term and lose only what the agreement says they lose, usually the option fee and any rent credits.
- Lease purchase. A lease plus an obligation to buy. The tenant-buyer has agreed to close by a date. If they do not, they are in breach of a purchase contract, not just out of an option.
- Rent to own. The everyday name for both. It describes the shape, not the legal terms. Two "rent to own" deals can be a lease option and a lease purchase, and the paperwork decides which.
The words on the signed documents control, not the words people use to describe the deal. Ask your attorney which structure you have before anyone relies on it.
Lease option file, $695. $250 opens it and the balance is due at closing. The lease, the option and the option deadline on one calendar, the owner's loan and insurance records in the file, the closing tracked when the option is exercised.
What a lease option agreement covers
Your attorney drafts the lease and the option, together or as two documents. The terms people negotiate:
- Option fee. Money paid up front for the right to buy. Whether it is credited to the price at closing, and whether it is refundable, is a drafted term.
- Purchase price. Fixed now, or set by a formula or appraisal later.
- Option period. The deadline by which the tenant-buyer must exercise. The most important date on the file.
- Rent and rent credits. The monthly rent and whether any part of it counts toward the price.
- Maintenance and repairs. Who handles what while it is still a lease.
- How to exercise. Written notice, by when, to whom, and what happens next.
Why Texas treats some lease options as executory contracts
Texas Property Code section 5.062 says that an option to purchase residential real property that is combined with, or signed at the same time as, a residential lease is treated as an executory contract for conveyance, together with the lease. The section applies to property used or to be used as the purchaser's residence, or a close relative's. It does not apply to an executory contract that provides for delivery of the deed within 180 days of final execution. Executory contracts come with disclosure, recording and remedy rules a plain lease does not have. Ask your attorney what they require.
Other states handle lease options differently. Whether your file falls under the Texas rule or another state's, and what that requires in the documents, is your attorney's call. The coordinator's job is to put every notice date the attorney identifies on the calendar and track it.
The owner's loan and insurance
On a lease option the owner keeps title, so the owner's mortgage and the owner's insurance stay in place. The file still collects the mortgage statement and the policy, for two reasons. The tenant-buyer wants to know the loan is being paid on the house they plan to buy. And when the option is exercised, the payoff and the insurance switch have to be ready. If the parties use a servicer to handle the rent and track credits, that gets set up before move-in.
The lease option file, step by step
- Agreements in. Lease, option, parties. Checklist and calendar built, with the option deadline on it in red.
- Attorney drafts tracked. Lease, option, any state-required notices. Both sides should have counsel.
- Owner's loan and insurance records collected and filed.
- Option fee and move-in documented. Servicer set up if one is used.
- Option deadline tracked. Reminders ahead of it to every party.
- Option exercised. Closing checklist opened: title, the tenant-buyer's financing, payoff, insurance switch.
- Closing and after. Settlement statement checked, signing, funding, recording, closing packet sent.
A lease option can be a lease, a purchase contract, or in Texas an executory contract, depending on the words on the page and when the deed is to be delivered. Have a real estate attorney in the property's state structure it and draft every document. Dean Creative Closings coordinates the file and does not draft, advise, lend or decide which structure is right for you.
